Terms of Service

Overview

LabShipped provides white-label peptide sourcing, labeling, and fulfillment services ("Services") to approved business partners ("Partners"). By using our Services or website, you agree to these terms.

Eligibility

Our Services are available to registered business entities only. By using our Services, you represent that you are operating a legally registered business and that you have the authority to enter into this agreement on behalf of that business.

Products

All products sourced and fulfilled by LabShipped are research-use-only (RUO) materials. Products are not intended for human consumption, injection, or therapeutic use. Partners agree to:

• Label all products "For Research Use Only — Not for Human Consumption"
• Refrain from making therapeutic, medical, or health claims about any product
• Comply with all applicable federal, state, and local regulations
• Not sell products that are classified as controlled substances under DEA schedules I-V
• Maintain accurate product descriptions on their e-commerce platforms

Service Terms

LabShipped provides Services on a month-to-month basis unless otherwise agreed in writing. Either party may terminate the relationship with 30 days written notice. Upon termination, remaining inventory will be shipped to the Partner at their expense.

Pricing & Payment

Pricing is provided via custom rate card based on product selection and volume. Prices are subject to change with 30 days notice. Payment terms are net-15 unless otherwise agreed. Late payments may result in service suspension.

Shipping

All shipments are sent via LabShipped's carrier accounts at bulk-discounted rates. Partners may not use their own carrier accounts. Shipping costs are billed at our negotiated rates with no markup. LabShipped is not liable for carrier delays, damage in transit, or lost packages beyond filing carrier claims on the Partner's behalf.

Intellectual Property

Partners retain ownership of their brand names, logos, and label designs. Partners grant LabShipped a limited license to reproduce these materials solely for the purpose of producing labeled products and fulfilling orders. LabShipped retains ownership of its own brand, website, dashboard, and proprietary systems.

Confidentiality

Both parties agree to keep confidential any non-public information shared during the business relationship, including pricing, customer data, order volumes, and proprietary processes.

Limitation of Liability

LabShipped's liability is limited to the fees paid by the Partner in the 3 months preceding any claim. LabShipped is not liable for indirect, incidental, or consequential damages, including lost profits or business interruption. Partners are solely responsible for compliance with laws governing the sale and marketing of their products.

Indemnification

Partners agree to indemnify and hold harmless LabShipped from any claims, damages, or expenses arising from the Partner's marketing, sale, or distribution of products, including any claims related to product misuse, mislabeling, or regulatory violations attributable to the Partner.

Disclaimer

LabShipped is a fulfillment and logistics provider. We do not manufacture peptides. We source products from third-party suppliers and make no warranties regarding the fitness of products for any particular purpose. All products are provided for research use only.

Modifications

We may update these terms from time to time. Material changes will be communicated via email to active Partners with 30 days notice. Continued use of Services after changes take effect constitutes acceptance.

Governing Law

These terms are governed by the laws of the State of California. Any disputes will be resolved in the courts of Los Angeles County, California.
